The transaction includes a combination of cash and stock and may be worth up to $224 million if all performance milestones are achieved. Closing remains subject to customary conditions and the receipt of any required legal, regulatory, and corporate approvals.

For Ratel Robotics, this marks a new stage of development and an opportunity to scale its combat-proven technologies more rapidly. Combining Ratel’s unmanned ground vehicles with Swarmer’s autonomy software will lay the foundation for an integrated ecosystem of unmanned ground and aerial systems with increasing levels of autonomy.

Ratel platforms already carry out logistics, casualty evacuation, engineering, and reconnaissance missions on the front line. They are also used for remote mining, demining, and drone-launch operations. The company is expanding its aerial systems portfolio and developing mobile repair workshops and other solutions to provide comprehensive support to military units.

“Having served in the Armed Forces of Ukraine, I understand firsthand the risks soldiers face every day. This experience inspired us to create robotic systems capable of taking on the most dangerous missions. Together with Swarmer, we will combine ground and aerial capabilities and advance their autonomy so that fewer people have to risk their lives,” said Taras Ostapchuk, founder and CEO of Ratel Robotics.

Following the closing of the transaction, Taras Ostapchuk will continue to lead Ratel Robotics. The company’s team will remain focused on advancing its products, scaling production, and strengthening Ukrainian defense tech globally.

Ratel Robotics remains committed to supporting Ukraine and developing technologies that save the lives of military personnel.
